2025 Annual General Meeting – Voting Results Update Statement

At the Company’s Annual General Meeting (“AGM”) held on 7 May 2025, the total vote received in favour of Resolution 6 (the re-election of Harry Hyman) was 79.28%. This was 0.72% below the 80% UK Corporate Governance Code (the “Code”) approval threshold for the resolution. 

Given more than 20% of votes were cast against this resolution, the Company is providing an update on the views received from shareholders and actions taken, as required by provision 4 of the Code.

Since the AGM, the Company has – as a consequence of its recently completed, successful offer to acquire Assura plc – had a unique opportunity to engage with its shareholders. Those conversations have demonstrated to the Company the firm confidence which its investors have in its leadership with Harry Hyman as Non-executive Chair and Mark Davies as Chief Executive Officer, and in the configuration of its Board as a whole. 

The Company continues to be committed to maintaining the highest standards of corporate governance.  Accordingly, it will continue regular and meaningful engagement with its investors, always mindful of its compliance with Code, and all other, requirements, balanced with ensuring the Company has the optimal mix of skills and experience to deliver its strategy against a backdrop of the dynamic evolution of government health policy and plans for primary care.

The Board would like to thank all the shareholders that have engaged with the Company for their continuing feedback and support. In line with its normal practice, the Board will continue to engage with shareholders and their representative bodies and will provide further updates as appropriate.
