Special Dividend Declaration

Further to the announcement made on 28^th October 2025, B.P. Marsh & Partners Plc (AIM: BPM), the specialist private equity investor in early-stage financial services businesses, is pleased to confirm that it has received consideration of £27.6m from the disposal of its shareholding in Stewart Specialty Risk Underwriting Ltd (the “Proceeds“).

Use of Proceeds

Following receipt of the Proceeds, the Company is pleased to confirm its intention to declare a Special Dividend of £8.0m, equating to 22.33p per share.

The Special Dividend of circa 22.33p per share will be payable on Friday 27^th March 2026 to Shareholders on the Register as at Friday 6th March 2026. The associated ex-dividend date will be Thursday 5^th March 2026.

In addition to the Special Dividend of £8.0m, and as previously guided, the Company’s intention is to pay a dividend of at least £5.0m per annum in each of the financial years ending 31^st January 2027 and 31^st January 2028, subject always to the Board’s right to recommend an increased or decreased Final Dividend, for example in the event of significant realisations or capital commitments.

The Board periodically reviews its capital allocation policy, including the frequency of dividend payments for subsequent years.
